Our Terms and Conditions related to our training programs and educational courses are outlined below.
Terms & Conditions
These Terms and Conditions (“Terms”) govern the relationship between Silverstrait Solutions Inc. (“we”, “us”, “our”) and any individual (“you”, “your”, “Candidate”) who registers for or participates in one of our educational courses (the “Training Services”) whether delivered online or in person.
By registering for or attending a course, you agree to be bound by these Terms. If you do not accept these Terms, you must not register or participate in the course.
In addition, these Terms and Conditions (“Terms”) also govern the provision of corporate training services by Silverstrait Solutions Inc. (“we”, “us”, “our”) to any corporate client or organization (“Client”, “you”, “your”) engaging us to deliver training programs or courses (the “Training Services”) for employees, contractors, or authorized participants (the “Participants”).
By accepting a quotation, submitting a purchase order, or otherwise engaging us to deliver Training Services, you agree to be bound by these Terms.
1. Scope of Services
1.1. We provide educational courses designed for individual learners for professional or personal development as well as provide educational and training services to corporate clients, delivered either online (via our platform or an authorized provider) or in person at agreed locations.
1.2. The nature of our services is educational only. They do not constitute professional, business, or legal consultancy services.
1.3. We may provide course completion certificates where applicable, but make no representation or warranty as to accreditation, regulatory recognition, or business outcome unless expressly stated in writing.
2. Agreement and Orders
2.1. These Terms apply to all Training Services provided by us unless otherwise agreed in a separate signed agreement.
2.2. Any terms and conditions attached to a Client’s purchase order or procurement documentation are expressly rejected unless separately agreed in writing.
2.3. No order shall be deemed accepted until confirmed by us in writing (including by email).
3. Fees and Payment
3.1. Course registration is confirmed only upon receipt of full payment, unless otherwise agreed in writing.
3.2. All fees are in Canadian Dollars (CAD) and are subject to applicable GST/PST/HST as required by law.
3.3. Payment must be made through our approved payment methods.
3.4. We reserve the right to reject or cancel any registration at our discretion, in which case any fees paid will be refunded.
3.5. Fees will be listed on our website and booking system or will be as specified in our proposal, quotation, or order confirmation. All fees are in Canadian dollars and exclusive of applicable taxes (including GST/PST and HST, where applicable).
3.6. Invoices are due within thirty (30) days of the invoice date unless otherwise agreed in writing.
3.7. Late payments are subject to interest at a rate of 1.5% per month (18% per annum) or the maximum permitted by law.
3.8. The Client or Candidate is responsible for all applicable taxes and withholdings unless a valid exemption certificate is provided.
4. Cancellations, Rescheduling, and Substitutions
4.1. The Client or Candidate may cancel or reschedule in-person or live-online training sessions by providing written notice.
4.2 Training registration fees paid are not refundable, but will be transferrable to another person or another course within a limited 6 months time frame.
4.3. No refund or credit is available once an online (on-demand) course has been accessed by any Candidate or Participant.
4.4. Substitutions of a Candidate or Participants may be made at any time prior to the session start date with written notice.
4.5. We reserve the right to reschedule or cancel training sessions due to instructor illness, insufficient enrolment, or other unforeseen circumstances. In such cases, we will offer an alternative date or full refund of any pre-paid fees.
5. Candidate Obligations
5.1. The Candidate shall:
Comply with applicable conduct and participation requirements.
Refrain from recording, reproducing, or distributing the training content without written permission.
5.2. The Candidate is responsible for ensuring that it has the necessary technical capability, internet access, and equipment to participate in online training.
6. Client Obligations
6.1. The Client shall:
Ensure all Participants comply with applicable conduct and participation requirements.
Provide a suitable training environment for in-person delivery, where applicable.
Refrain from recording, reproducing, or distributing the training content without written permission.
6.2. The Client is responsible for ensuring that Participants have the necessary technical capability, internet access, and equipment to participate in online training.
7. Intellectual Property
7.1. All materials, content, recordings, presentations, and documents provided in a course (collectively, “Course Materials”) remain the sole property of Silverstrait Solutions Inc. or its licensors and are protected under copyright and other laws.
7.2. Candidates and training Participants are granted a non-exclusive, non-transferable license to use the Course Materials solely for their own training and professional development.
7.3. Course Materials may not be copied, distributed, altered, or used to create derivative works without our prior written consent.
8. Confidentiality
8.1. Each party shall keep confidential any proprietary or confidential information received from the other party in connection with the Training Services.
8.2. This obligation does not apply to information that is or becomes publicly available (other than through breach), is disclosed by a third party legally entitled to do so, or is required to be disclosed by law or regulatory authority.
9. Privacy and Data Protection
9.1. We collect, use, and store your personal information in accordance with the Personal Information Protection Act (PIPA) of British Columbia and our Privacy Policy.
9.2. By registering for a course, you consent to our collection and use of your personal information for:
Managing your registration and participation;
Providing you with course-related communications; and
Offering you information about related courses or services (you may opt out at any time).
9.3. The Client confirms it has the legal right to provide us with Participant information and has obtained any necessary consents.
9.4. We do not sell your personal data to third parties.

10. Limitation of Liability
10.1. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or accuracy of content.
10.2. We shall not be liable for;
Any indirect, incidental, special, or consequential damages, including loss of business, profits, or data, even if advised of the possibility of such damages.
Any loss arising from your reliance on the course content; or
Any disruption due to technical issues, third-party platform failure, or force majeure events.
10.3. Our total liability for any claim in contract, tort (including negligence), or otherwise, shall be limited to the total fees paid by the Candidate or the Client for the specific Training Services giving rise to the claim.
11. Force Majeure
We shall not be responsible for delays or failure to perform any obligation under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, labour disputes, public health emergencies, pandemics, governmental restrictions, internet outages, or equipment failure.
12. Amendments to Terms
We reserve the right to update or modify these Terms from time to time. The most current version will be posted on our website. Continued participation in a course after changes have been made constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of British Columbia for any disputes arising out of or in connection with these Terms.
14.General
14.1. These Terms constitute the entire agreement between the parties regarding the Training Services and your participation in the course, and supersedes all prior communications, proposals, or agreements, unless a separate signed agreement exists.
14.2. No variation to these Terms shall be binding unless agreed in writing by both parties.
14.3. If any provision is held to be invalid or unenforceable, the remainder shall remain in full force and effect.
14.4. No failure or delay in exercising any right under these Terms shall constitute a waiver.
